1. Agreement to Terms

By accessing or using the website at acsify.com or engaging Acsify for any services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services.

These terms apply to all visitors, clients, and anyone who accesses or uses our services. "Acsify", "we", "us", and "our" refer to Acsify Inc., based in Newmarket, Ontario, Canada.

2. Services

Acsify provides the following technology services:

The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate written proposal or contract agreed upon by both parties prior to commencing work.

3. Project Agreements

All client projects are governed by a written proposal or Statement of Work (SOW) that includes:

Work commences only after the proposal is accepted and any required deposit is received. Changes to agreed scope must be requested in writing and may result in additional charges and timeline adjustments.

4. Payment Terms

Unless otherwise agreed in writing:

All prices are quoted in Canadian Dollars (CAD) unless otherwise specified. Applicable taxes will be added to invoices as required by Canadian law.

5. Intellectual Property

Client-owned work: Upon receipt of full payment, all custom code, designs, and deliverables created specifically for a client project become the property of the client.

Acsify-owned tools: Any pre-existing tools, frameworks, libraries, templates, or proprietary code developed by Acsify prior to or independently of the client project remain the property of Acsify. We may incorporate these into client projects under a perpetual licence.

Third-party components: Projects may incorporate open-source software or third-party APIs governed by their own licences. We will disclose any such components.

Portfolio rights: Unless you request otherwise in writing, Acsify reserves the right to display completed work in our portfolio and marketing materials.

6. Confidentiality

Acsify treats all client information, business data, technical specifications, and project details as confidential. We will not disclose your confidential information to any third party without your written consent, except as required by law.

7. Warranties and Representations

Acsify warrants that:

Acsify provides a 30-day post-launch support period for bugs and issues directly related to our deliverables at no additional charge. This does not cover issues caused by third-party services, client modifications, or changes in external APIs.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Acsify's total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.
